Phil Sudan is based in our Houston office but represents clients on a worldwide basis.

BIOGRAPHY

For more than 35 years, Phil Sudan has represented individuals, for profit and not for profit corporations, and private foundations in connection with mergers and acquisitions, and international business and tax transactions, as well as providing advice on all types of general business transactions.

Phil has represented companies of all sizes in dozens of countries on a wide range of international transactions, including mergers and acquisitions, joint ventures, technology transfers and licensing, debt and equity financing, and contracts and commercial agreements. He regularly advises non-US based entities on establishing and/or expanding operations within the US or advises US based businesses on expanding overseas.

In addition, Phil has served on the boards of directors and the advisory boards of several nonprofit entities, including private foundations organized and operating outside the US, regularly advising them on legal and tax compliance matters.

  • Handled mergers and acquisitions, including the drafting of asset and stock purchase agreements, stock redemptions, due diligence and tax planning
  • Facilitated commercial and corporate transactions in countries throughout the world, providing international legal and tax planning advice and counsel, including in Ireland, Switzerland, UK, Brazil, Argentina, Mexico, Singapore, India, China, Canada, The Netherlands, Bermuda, Luxembourg and Panama
  • Provided advice and counsel to Boards of Directors and Special Committees of nonprofits and private foundations, domestically and internationally
  • Prepared intellectual property transfers and licenses, research and development agreements as well as manufacturing license agreements
  • Negotiated transactions, including tender offers, mergers, asset and stock transactions, spinoffs, leveraged buyouts, recapitalizations and significant corporate investments
